Welcome to Vendoura Community Marketplace (“Vendoura”). According to our Vendors Terms and Conditions, registering as a vendor, signing this agreement, and using our services, you agree to comply with the following Terms and Conditions. Please review them carefully before listing your products. This agreement formalizes the partnership between Vendoura Trading Hub Limited and the undersigned vendor (“Vendor”) for mutual benefit and growth.
1. Introduction & Purpose
Vendoura is committed to empowering small and medium-scale creative artisans and vendors by providing an innovative e-commerce platform for collaboration, product promotion, and business growth. This Vendor Agreement outlines the terms of collaboration, ensuring mutual benefit through shared marketing, visibility, and community support.
2. Scope of Collaboration
Vendors are granted the right to list, sell, and promote products on Vendoura’s e-commerce platform. Vendoura provides tools for product listing, collaboration opportunities, visibility, and promotional support. The Vendor retains full ownership of their products and intellectual property.
3. Value Propositions for Vendors
Vendoura offers the following benefits:
- Visibility : Product listings featured on Vendoura’s platform and marketing channels.
- Collaboration : Opportunities for joint promotions, workshops, and cross-selling with other vendors.
- Content & Promotion : The first 100 vendors receive exclusive features, including blog interviews, product videos, and store highlights.
- Community : Access to a supportive vendor network for shared growth and learning.
- Tools & Support : User-friendly tools, including a product inventory management dashboard, community activities, business pages, groups, forums, and training resources.
4. Vendor Obligations
The Vendor agrees to:
- Provide accurate product details, pricing, and availability.
- Maintain high standards of product quality, authenticity, and timely order fulfillment.
- Comply with all applicable local business, tax, and consumer protection laws.
- Act in accordance with Vendoura’s core values: collaboration, innovation, community, empowerment, integrity, and customer-centricity.
- Fulfill orders promptly and reliably.
5. Vendoura’s Obligations
Vendoura agrees to:
- Provide and maintain the platform’s infrastructure for seamless operations.
- Support vendors with marketing, visibility, and promotional opportunities.
- Offer training, workshops, and community events to support vendor growth.
- Facilitate payouts and platform tools as outlined.
6. Financial Terms
- Introductory Commission (Founding Vendors) : Vendoura will charge a 10% commission fee per sale during the Vendor’s first 12 months on the platform.
- Standard Commission (Post-Introductory Period) : After the initial 12 months, or upon Vendoura reaching agreed platform growth milestones, the standard 15% commission rate will apply.
- Payment Processing : Vendor payouts will be disbursed via bank transfer (or other agreed methods) once earnings reach a minimum threshold of ₦10,000. Payouts are processed monthly. Vendors are solely responsible for remitting all applicable taxes on their sales.
7. Confidentiality & Intellectual Property
Both parties agree to protect confidential information shared during the partnership. Vendors retain ownership of their products and intellectual property. Vendoura owns the platform’s branding, tools, and associated intellectual property.
8. Limitation of Liability
Vendoura provides the platform “as is” without warranties of uninterrupted service or error-free performance. Vendoura is not responsible for vendor disputes, product defects, delivery failures, or third-party actions. Vendoura’s liability to any vendor is limited to the total commission fees paid by that vendor in the last 6 months.
9. Indemnification
Vendors agree to indemnify and hold harmless Vendoura, its affiliates, and staff from any claims, losses, damages, liabilities, or expenses arising out of:
- Product defects, misrepresentations, or disputes with buyers.
- Violation of these Terms.
- Non-compliance with laws or third-party rights.
10. Termination & Dispute Resolution
Either party may terminate this agreement with 30 days’ written notice. Termination may occur immediately if either party breaches the agreement. Disputes will be resolved through good-faith mediation before pursuing legal action. If mediation fails, disputes will be subject to the applicable laws of Nigeria.
11. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria.
12. Acknowledgment & Acceptance
By creating a vendor account and using the Vendoura Community Platform, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
